Job Description

Our client's law firm specializes in public company listings, capital raising, SEC compliance, securities offerings, corporate and commercial law, as well as domestic and international mergers and acquisitions. They work with issuers and investors across North America and internationally. With offices in the U.S. and regional offices in Tel Aviv and Beijing, they seek to hire an attorney experienced in securities transactions and compliance, with a background in working with both issuers and underwriters.

Essential Functions (What You Will Be Doing):

• Collaborate with issuers, underwriters, and regulators on IPOs, SEC-registered follow-on offerings, and private/exempt offerings.
• Draft SEC filings and correspondence, including Exchange Act compliance.
• Oversee NYSE, NASDAQ, and OTC compliance for public company clients.
• Manage Exchange Act reporting and compliance:
  • Registration statements (Forms 10 and 8-A)
  • Annual and quarterly reports (Forms 10-K and 10-Q)
  • Current reports (Form 8-K)
  • Proxy statements/proxy contests (Schedule 14A)
  • Information statements (Schedule 14C)
  • Tender offer statements (Schedule TO)
  • Insider filings (Forms 3, 4, and 5; Schedules 13G and 13D)

Required Experience:

• At least 5 years of relevant securities experience in public SEC practice with NYSE or NASDAQ companies.
• Extensive transactional law experience for issuers and underwriters, including:
  • IPOs
  • PIPE transactions
  • Uplistings
  • Follow-on offerings
• Proficiency in SEC filings, reporting, and compliance, including periodic and annual reporting, proxy statements, disclosure advice, and corporate governance.
• Underwriter-side experience in public offerings is a plus.

Education and Qualifications:

• J.D. from an accredited law school.
• Minimum 5 years of relevant securities experience.
• Membership in good standing with at least one state bar (preferably New York, Florida, or California).
• Proven legal practice in the required areas.
• A willingness to grow and learn in new areas.

Knowledge, Skills, and Abilities:

• Strong knowledge of securities law and corporate finance.
• Excellent written and verbal communication skills for interaction with clients and market participants.
• Ability to handle multiple projects simultaneously while maintaining composure under pressure.
• Initiative, sound judgment, strategic thinking, and a balance of business needs with legal risks.
• Proficiency in using firm-provided tools for email, time tracking, and client record management.
• Mandarin Chinese proficiency is a plus; an additional language beyond English is also advantageous.
